Abstract： Farmers’professionalcooperativeistheproductoftheinstitutionalinnovationforachievingvariouseco-nomicgoals,especiallythepotential“exteriorprofits”.However,thereexistinglowefficiencyinfarmers’profes-sionalcooperativeinreality.FromtheperspectiveoftheNewInstitutionalEconomics,thispapercomparesthegen-erationmechanismsandoperationalperformanceoftwotobaccocooperatives.Thenanalysisresultsshowsthatthe establishmentoftwotobaccocooperativesaretheinstitutionalchangesinducedbyexternalprofits.Theiroperation performancedisplaytheobviousdifferenceduetotheconsentagreementofthemainbodyofinstitutionalinnovation canbewhetherreached.Andthepolicymeaningwereputforwardtoimprovethecooperativeefficiencyinthispa-per,whichisthatthepreferenceandbenefitcouplingmechanismofparticipantsshouldbetakenintoaccountinthe designoftheinstitution.
